Contract: Share purchased in Sacred Spirits Tavern

This Agreement is made on this day, 17 February 1927, between Eliana Gildenheart, hereinafter referred to as the "Owner," and Drake, acting on behalf of himself and his associates, hereinafter referred to as the "Investors."
Whereas the Owner is the sole proprietor of the Sacred Spirits Tavern , located on Temple Isle, within the City of Autumn; And whereas the Investors wish to purchase a stake in The Sacred Spirits Tavern and obtain exclusive use of the upstairs apartment; Now, therefore, the parties hereby agree as follows:

Investment and Ownership:

The Investors agree to purchase a thirty-five percent (35%) stake in The Sacred Spirits Tavern for the total sum of fifty (50) gold pieces. The Owner acknowledges receipt of the said sum and hereby grants the Investors a thirty-five percent (35%) interest in the business.

Use of Premises:

The Owner grants the Investors exclusive use of the upstairs apartment of The Sacred Spirits Tavern for the duration of this Agreement. The Investors agree to maintain the premises in good condition and not to use it for any unlawful activities.

Distribution of Profits and Losses:

Profits and losses shall be allocated to the Owner and the Investors in proportion to their respective ownership interests in the business.

Management and Operation:

The Owner shall continue to manage the day-to-day operations of The Sacred Spirits Tavern. The Investors shall have the right to be consulted on major business decisions.

Duration and Termination:

This Agreement shall remain in effect indefinitely, subject to termination by mutual consent of the parties or as provided by law. Upon termination, assets and liabilities shall be distributed according to ownership interests.

Dispute Resolution:

Any disputes arising out of this Agreement shall be resolved through mediation, with arbitration as a final recourse if mediation fails.

Amendment and Waiver:

This Agreement may be amended only by a written document signed by both parties. The failure of any party to enforce any provision of this Agreement shall not be construed as a waiver of such provision.

Governing Law:

This Agreement shall be governed by the laws of the City of Autumn and the overarching Accord governing business and property.

Entire Agreement:

This document constitutes the entire agreement between the parties regarding its subject matter, superseding all prior agreements or understandings.

Acknowledgment

This document was acknowledged before me on 17 February 1927 by Eliana Gildenheart and Drake, as the Owner of The Sacred Spirits Tavern and representative of the Investors, respectively.
